ProPal Terms of Use

These Terms of Use (the “Terms”) form a binding agreement between you and EMOTION Software Development, LLC, an Oklahoma limited liability company, doing business as ProPal (“ProPal,” “we,” “us,” or “our”). ProPal is an EMOTION Software Development, LLC technology.

These Terms govern your access to and use of the ProPal website, SMS and MMS program, customer support, service-request intake, routing, dispatch, provider-introduction features, and related services (collectively, the “Service”). By accessing the Service, texting a ProPal number, continuing a ProPal conversation, submitting information, or otherwise using the Service, you agree to these Terms and acknowledge the Privacy Policy and SMS Terms.

IMPORTANT: SECTION 20 REQUIRES MOST DISPUTES TO BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION AND INCLUDES A CLASS-ACTION WAIVER AND JURY-TRIAL WAIVER. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 20.

1. Eligibility and United States Service Area

You must be at least 18 years old and legally capable of entering a contract to use the Service independently. A minor may use the Service only with the involvement and authorization of a parent or legal guardian.

ProPal presently offers the Service only for residential and property-related service requests within the United States. You may not use the Service to request work outside the United States. We may limit availability by state, city, ZIP code, provider coverage, service type, or operational capacity.

2. What ProPal Is

ProPal is a communication, intake, attribution, routing, and provider-introduction platform for home-essential services. A customer may text a ProPal-controlled telephone number associated with a participating service provider or otherwise distributed by ProPal. The message enters ProPal’s common system. ProPal may use automated systems and artificial intelligence to:

  • understand the customer’s request;
  • ask clarifying questions;
  • collect a service address, timing preference, photographs, and relevant details;
  • classify the likely service category;
  • identify potentially eligible providers based on service, area, availability, account status, source attribution, and other rules;
  • send a request to an eligible provider;
  • communicate status information; and
  • facilitate a warm introduction or handoff between the customer and an accepting provider.

ProPal is an access and coordination layer. ProPal is not the provider performing the underlying home service unless we expressly state otherwise in a separate signed agreement.

3. What ProPal Is Not

Unless expressly stated in a separate written agreement signed by ProPal:

  • ProPal is not a contractor, subcontractor, home-improvement company, tradesperson, inspector, engineer, architect, adjuster, insurer, lender, escrow agent, real-estate professional, utility, emergency-response service, or governmental authority.
  • ProPal does not employ, supervise, control, direct, or guarantee independent service providers.
  • ProPal does not diagnose property conditions, determine code compliance, establish scope of work, prepare a professional estimate, set provider prices, negotiate a provider contract, schedule a binding appointment, collect payment for provider work, issue warranties, obtain permits, or perform repairs.
  • ProPal does not guarantee that any provider is licensed, bonded, insured, available, qualified for a particular property, or suitable for a customer’s needs, even if ProPal uses verification or screening processes.
  • ProPal does not guarantee response times, arrival times, quotes, pricing, completion, workmanship, safety, availability, or results.

Any description generated by ProPal is an intake summary, not a professional opinion or diagnosis. Any indication that a request appears urgent is an operational routing signal, not emergency advice.

4. Customer-Initiated SMS Use and Consent

The customer-facing Service operates primarily through SMS and MMS. When you initiate a text conversation with ProPal, you request and consent to receive conversational and service-related text messages necessary to respond to and coordinate your request. These messages may be sent using automated technology.

Message frequency varies based on your request and activity. Message and data rates may apply. Consent to receive recurring or automated messages is not a condition of purchasing services from any independent provider. Reply STOP to opt out and HELP for assistance. Additional terms are in the SMS Terms.

Your carrier is not liable for delayed or undelivered messages. Delivery is affected by carrier networks, device settings, filtering, service outages, and other factors outside ProPal’s control.

5. Customer Identity and Conversation Continuity

For customer SMS interactions, your mobile number is the primary identifier used to maintain conversation continuity. You represent that you are authorized to use the mobile number from which you communicate and that the number is not being used to impersonate another person.

If a mobile number is reassigned, shared, controlled by an employer, used by multiple household members, or accessed by another person, ProPal may not be able to determine the identity of each user. You are responsible for protecting your device and notifying ProPal if you believe another person has used your number without authorization.

6. Provider-Associated ProPal Numbers and Attribution

Each participating provider may receive a dedicated ProPal-controlled Twilio number. All such numbers route into ProPal’s common messaging and routing system. The destination number contacted may establish source-provider attribution, which helps ProPal recognize which provider distributed the number.

Attribution does not create ownership of the customer, guarantee that every future request will go to the source provider, or prevent the customer from selecting another provider. Subject to provider eligibility, service area, availability, account status, and routing rules, ProPal may offer the source provider first consideration for work the source provider is qualified to perform. Requests outside that provider’s services, service area, availability, or eligibility may be routed elsewhere.

A customer may share a ProPal number with others. ProPal may preserve attribution associated with the destination number even when the number is forwarded or shared. The customer remains free to request another provider, decline a provider, or stop using the Service.

7. Service Requests and Information You Provide

You agree to provide information that is accurate to the best of your knowledge and reasonably necessary to coordinate the request. You must not knowingly provide false addresses, fabricated emergencies, misleading photographs, unauthorized personal information, or content intended to harm, harass, defraud, or misdirect a provider.

You are responsible for:

  • confirming the service address and access instructions;
  • disclosing known hazards, animals, occupants, restricted areas, utilities, contamination, structural instability, or other conditions that could affect safety;
  • obtaining permission from the property owner or other authorized person when necessary;
  • protecting valuables and sensitive information; and
  • independently reviewing any provider’s identity, credentials, insurance, scope, price, contract, and warranty before authorizing work.

Do not send Social Security numbers, full payment-card information, bank credentials, medical records, government identification, passwords, alarm codes, or other highly sensitive information unless ProPal expressly requests a specific item through a secure channel.

8. Independent Service Providers

Providers accessible through ProPal are independent businesses and are not agents, employees, partners, franchisees, joint venturers, or representatives of ProPal. A provider’s statements, estimates, contracts, invoices, warranties, advertisements, licenses, insurance, conduct, and work are the provider’s responsibility.

A customer and provider may enter a separate agreement. ProPal is not a party to that agreement and does not become responsible merely because ProPal introduced the parties, transmitted information, preserved attribution, or displayed provider information.

Before permitting work, customers should independently verify any license, registration, insurance, bond, permit, or professional credential required for the work and location. Requirements differ by state and locality.

9. Estimates, Quotes, Pricing, Scheduling, and Contracts

ProPal may help collect information a provider uses to evaluate a request. ProPal may transmit a provider’s response or identify that a customer seeks an estimate or quote. ProPal itself does not issue a binding estimate, quote, proposal, appointment, scope, contract, change order, invoice, or warranty unless expressly stated in a separate signed writing.

Any price range, possible cause, timing statement, or service description generated by an AI system or presented before provider review is informational and non-binding. Property conditions may differ from photographs or messages. Final scope and price may change after inspection, access, measurements, testing, permitting, material selection, hidden-condition discovery, or customer-requested changes.

A customer should not authorize work based solely on an AI-generated message, routing summary, or unverified text. The provider is responsible for clearly stating its own scope, exclusions, price, deposit, payment schedule, cancellation policy, warranty, and other terms.

10. Emergencies and Safety

ProPal is not a 911 service, emergency dispatcher, utility emergency line, poison-control center, medical service, or public-safety agency. Do not rely on ProPal when life, health, fire, active crime, gas leakage, electrical arcing, structural collapse, flooding, carbon monoxide, hazardous materials, or immediate property danger requires emergency action.

Call 911 or the appropriate emergency authority. For suspected gas leaks, leave the area and contact the gas utility from a safe location. For electrical, fire, or utility emergencies, follow official safety guidance.

ProPal may identify language suggesting urgency and may prioritize routing, but no automated classification guarantees that an emergency will be detected or handled correctly.

11. Artificial Intelligence

ProPal may use custom AI workflows and third-party model providers, including OpenAI and/or Anthropic, to interpret messages, structure intake information, classify service needs, summarize conversations, and generate responses. AI output may be incomplete, inaccurate, delayed, or inappropriate for a particular property.

You agree not to treat AI output as professional, legal, financial, engineering, architectural, medical, safety, insurance, code-compliance, or diagnostic advice. You must independently confirm important information with a qualified human professional.

ProPal may use deterministic rules alongside AI. Routing decisions can depend on service type, address, provider coverage, operating hours, availability, source attribution, response history, rating, billing status, and system safeguards. No particular provider placement is guaranteed.

12. Photographs, Messages, and Other User Content

You retain ownership of content you submit, subject to the rights necessary to operate the Service. You grant ProPal a nonexclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, transmit, reformat, analyze, display, and disclose your content as reasonably necessary to:

  • provide and improve the Service;
  • process and route requests;
  • communicate with providers and vendors;
  • maintain records and audit trails;
  • prevent fraud and abuse;
  • resolve disputes; and
  • comply with law.

You represent that you have the right to submit the content and that doing so does not violate privacy, intellectual-property, confidentiality, contractual, or other rights. Do not submit photographs or recordings of individuals in private settings without appropriate permission.

ProPal may remove, restrict, preserve, or disclose content as permitted by law and these Terms.

13. Prohibited Conduct

You may not:

  • use the Service for unlawful, fraudulent, deceptive, harassing, threatening, discriminatory, exploitative, or abusive activity;
  • send unsolicited marketing, spam, or messages without legally sufficient consent;
  • impersonate a provider, customer, ProPal employee, public official, or other person;
  • interfere with STOP, HELP, consent, suppression, or carrier-compliance mechanisms;
  • scrape, harvest, buy, sell, or compile customer phone numbers or service-request information;
  • attempt to access another person’s messages, provider account, administrative tools, or nonpublic data;
  • introduce malware, automated attacks, denial-of-service activity, or harmful code;
  • reverse engineer, bypass security, probe vulnerabilities without permission, or circumvent rate limits;
  • use ProPal to facilitate regulated or prohibited goods or services outside the supported home-service use case;
  • submit false credentials or misrepresent licenses, insurance, coverage, availability, identity, or affiliation;
  • use the Service in a way that harms carrier reputation, causes filtering, or violates Twilio or carrier policies; or
  • use ProPal output or provider data to build a competing database, routing network, or messaging service.

The Acceptable Use Policy is incorporated into these Terms.

14. Third-Party Services

The Service depends on third-party infrastructure, including Twilio, SendGrid, Supabase, OpenAI and/or Anthropic, Google Maps Platform, Stripe, hosting providers, monitoring services, carriers, and device platforms. Their services may be unavailable, changed, filtered, delayed, or discontinued.

Third-party services may have separate terms and privacy notices. ProPal is not responsible for third-party acts or omissions, carrier charges, device settings, map inaccuracies, model-provider output, payment-processor decisions, or outages outside our reasonable control.

15. Availability, Changes, and Beta Features

We may add, remove, suspend, limit, test, or change features, routing rules, supported services, providers, geographic coverage, or interfaces. Some features may be beta, experimental, incomplete, or available only to selected users.

We do not promise uninterrupted or error-free service. A customer may receive no match, a delayed response, or an incomplete handoff. We may use manual operational intervention when automated systems fail, but we do not guarantee that every failure will be detected or corrected.

16. Privacy

Our Privacy Policy describes our collection, use, disclosure, retention, and protection of personal information. Our State Privacy Notice provides supplemental information for residents of states with applicable privacy laws. By using the Service, you acknowledge those notices.

Mobile numbers, SMS opt-in data, and messaging consent are not sold or shared with third parties or affiliates for their own marketing or promotional purposes. This restriction does not prevent ProPal from disclosing service-request information to eligible providers for the customer-requested operational purpose or using processors that provide communications and infrastructure on ProPal’s behalf.

17. Intellectual Property

The Service, software, workflow, routing logic, designs, logos, trademarks, documentation, and other ProPal materials are owned by EMOTION Software Development, LLC or its licensors and are protected by law. Except for the limited right to use the Service under these Terms, no rights are transferred to you.

You may not copy, modify, distribute, sell, sublicense, publish, create derivative works from, or commercially exploit ProPal materials without written permission. The Intellectual Property Policy explains copyright notices and the DMCA process.

18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” PROPAL DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, PROVIDER QUALITY, AND RESULTS.

PROPAL DOES NOT WARRANT THAT:

  • A REQUEST WILL BE CORRECTLY CLASSIFIED;
  • A PROVIDER WILL BE AVAILABLE, ELIGIBLE, RESPONSIVE, LICENSED, INSURED, OR SUITABLE;
  • A MESSAGE WILL BE DELIVERED OR READ;
  • AN ESTIMATE, QUOTE, APPOINTMENT, OR SERVICE WILL OCCUR;
  • A PROVIDER’S WORK WILL BE SAFE, CODE-COMPLIANT, TIMELY, OR SATISFACTORY;
  • AI OUTPUT WILL BE ACCURATE; OR
  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Some jurisdictions do not allow certain disclaimers, so portions of this section may not apply to you.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPAL AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND VENDORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY; PROPERTY DAMAGE; PERSONAL INJURY; PROVIDER CONDUCT; FAILED OR DELAYED MESSAGES; AI ERRORS; OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPAL’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. the amount you paid directly to ProPal for the consumer Service during the 12 months before the event giving rise to the claim; or
  2. one hundred U.S. dollars ($100).

This limitation does not apply to liability that cannot legally be limited. The independent provider remains responsible for its work, contracts, charges, representations, and conduct.

20. Binding Individual Arbitration and Class-Action Waiver

20.1 Informal Notice First

Before filing arbitration, the claimant must send a written notice describing the dispute, relevant facts, requested relief, name, address, phone number, and account or conversation information. Notices to ProPal must be sent by certified mail to:

A copy should also be emailed to hello@textpropal.com. The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt.

20.2 Agreement to Arbitrate

Except for matters described below, any dispute, claim, or controversy arising from or relating to these Terms, the Service, communications, a service request, privacy, or the relationship between you and ProPal will be resolved by final and binding individual arbitration rather than in court.

The Federal Arbitration Act governs this arbitration agreement. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by these Terms. If AAA is unavailable, the parties will select another recognized arbitration administrator.

20.3 Individual Proceedings Only

Claims may be brought only in an individual capacity. The arbitrator may not consolidate claims or preside over a class, collective, coordinated, mass, representative, or private-attorney-general proceeding. You and ProPal waive the right to participate in such proceedings.

20.4 Jury-Trial Waiver

YOU AND PROPAL WAIVE THE RIGHT TO A JURY TRIAL for claims subject to arbitration.

20.5 Exceptions

Either party may:

  • bring an individual claim in small-claims court if it qualifies and remains individual;
  • seek temporary or preliminary injunctive relief in a court of competent jurisdiction to preserve the status quo pending arbitration;
  • seek relief for intellectual-property infringement, unauthorized system access, or misuse of confidential information; or
  • report matters to governmental agencies.

20.6 Location and Method

Arbitration may be conducted by telephone, video, document submission, or at a reasonably convenient location consistent with AAA rules. The arbitrator may award individual relief available under applicable law but may not award relief for persons who are not parties.

20.7 Fees

Fees will be allocated under AAA Consumer Arbitration Rules, subject to applicable law. Each party bears its own attorneys’ fees unless a statute or the arbitrator permits an award.

20.8 Opt-Out

You may opt out of this arbitration agreement by sending a signed written notice within 30 days after you first accept these Terms. The notice must state that you reject arbitration, include your full name, mailing address, mobile number used with ProPal, and signature, and be mailed to the Legal Dispute Notice address above. Email alone is insufficient. Opting out does not affect the remaining Terms.

20.9 Changes to Arbitration

If ProPal materially changes this arbitration section after your initial acceptance, we will provide notice where legally required. Your continued use will not waive any right to reject a newly expanded arbitration provision where applicable law requires a new opportunity.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ProPal and its members, managers, employees, contractors, affiliates, licensors, and vendors from claims, damages, losses, liabilities, costs, and expenses arising from:

  • your unlawful or prohibited use of the Service;
  • content you submit;
  • your misrepresentation, fraud, or violation of another person’s rights;
  • your violation of these Terms; or
  • property access or service requests you were not authorized to make.

This obligation does not require a consumer to indemnify ProPal for ProPal’s own unlawful conduct where prohibited by law.

22. Suspension and Termination

You may stop using the Service at any time and may opt out of SMS by replying STOP. ProPal may restrict, suspend, or terminate access when necessary to protect users, providers, carriers, systems, or legal compliance; investigate abuse; comply with law; or enforce these Terms.

Sections that by their nature should survive termination remain effective, including intellectual property, disclaimers, liability limitations, dispute resolution, and indemnification.

23. Changes to These Terms

We may update these Terms to reflect product, legal, operational, vendor, or business changes. The updated version will state a new effective date. We will provide additional notice when required by law. Material changes will apply prospectively unless law permits otherwise.

24. Governing Law and Venue

Except to the extent governed by the Federal Arbitration Act or preempted by federal law, Oklahoma law governs these Terms without regard to conflict-of-law principles. For disputes not subject to arbitration, the parties consent to exclusive jurisdiction in state or federal courts located in or serving Carter County, Oklahoma.

25. General Terms

These Terms, the Privacy Policy, SMS Terms, Acceptable Use Policy, and incorporated notices are the entire agreement governing public use of the Service. If a provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions remain effective. ProPal’s failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. ProPal may assign them in connection with a reorganization, financing, merger, asset transfer, or business succession.

Headings are for convenience only. “Including” means “including without limitation.” Electronic acceptance and records have the same effect as paper records and signatures to the extent permitted by law.
